Convertible note
Debt that converts into equity in a later round.
Definition
A convertible note is a short-term loan that converts into equity, typically at the next priced round, often with a valuation cap and a discount. Unlike a SAFE, it accrues interest and has a maturity date, which gives investors more protections but adds complexity.
