ESOP
The pool of equity reserved for employees.
Definition
An employee stock option pool, or ESOP, is the portion of equity set aside to grant options to employees. Investors often require expanding the pool at a round, which dilutes existing shareholders. Sizing the pool is a common negotiation point on the term sheet.
